Terms of Service

Effective Date: April 19, 2026

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Grey Duck Labs LLC, a limited liability company ("Company," "we," "us," or "our"), governing your access to and use of the EZ Mirror App, including all related software, APIs, tools, documentation, and services (collectively, the "App" or "Service"). BY DOWNLOADING, INSTALLING, ACCESSING, OR USING THE APP, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE APP.

1. Description of Service

EZ Mirror App is a Camera Kit-based platform that enables developers and end users to build augmented reality (AR) mirror experiences. The App allows users to configure and deploy AR lenses by supplying their own API credentials, including API keys and Lens Group IDs obtained from Snap Inc.'s Camera Kit or other supported third-party platforms. The Company provides the underlying application framework; all AR lens content, API credentials, and configurations are supplied and managed by the User.

2. Eligibility

You must be at least 13 years of age to use the App. If you are under 18, you represent that you have obtained parental or guardian consent. By using the App, you represent and warrant that:

  • You have the legal capacity to enter into this agreement;

  • You are not prohibited from using the App under applicable law; and

  • All information you provide is accurate, current, and complete.

3. User Accounts and Credentials

3.1 API Keys and Lens Group IDs

The App requires you to supply your own API key(s) and Lens Group ID(s) ("Credentials") obtained through Snap Inc.'s Camera Kit developer program or other applicable third-party services. You are solely responsible for:

  • Obtaining Credentials in compliance with Snap Inc.'s and any other applicable third-party developer terms;

  • Maintaining the confidentiality and security of your Credentials;

  • All activity occurring under or through your Credentials; and

  • Any fees or charges associated with your Credentials or API usage.

3.2 No Storage of Credentials

Grey Duck Labs LLC does not store, transmit, sell, or otherwise process your Credentials on its servers. Credentials are used solely on-device to initialize and authenticate the AR lens experience. You assume all risk associated with entering and using your Credentials within the App.

4. License Grant

4.1 Limited License to User

Subject to your compliance with these Terms, Grey Duck Labs LLC grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the App solely for your personal or internal business purposes in connection with building and deploying AR mirror experiences.

4.2 Restrictions

You agree that you will not, and will not permit any third party to:

  • Copy, modify, adapt, translate, or create derivative works based on the App;

  • Reverse engineer, disassemble, decompile, or otherwise attempt to derive the source code of the App, except as expressly permitted by applicable law;

  • Sublicense, sell, resell, transfer, assign, or otherwise commercialize or exploit the App or any portion thereof without our prior written consent;

  • Remove or alter any proprietary notices, labels, or marks on the App;

  • Use the App in any manner that could disable, overburden, damage, or impair the App or servers or networks connected to it;

  • Use any automated means, including bots, scrapers, or crawlers, to access or interact with the App;

  • Use the App for any illegal or unauthorized purpose.

5. User Content and Conduct

5.1 User Responsibility for Content

You are solely responsible for any AR lenses, media, data, configurations, and other content you deploy or display through the App ("User Content"). Grey Duck Labs LLC exercises no editorial control over User Content and does not endorse, verify, or assume responsibility for any User Content.

5.2 Prohibited Conduct

You agree not to use the App to create, deploy, distribute, or display any User Content or functionality that:

  • Is unlawful, defamatory, obscene, pornographic, harassing, threatening, or otherwise objectionable;

  • Violates any third party's intellectual property, privacy, or other rights;

  • Contains viruses, malware, or other harmful code;

  • Misrepresents your identity or affiliation;

  • Violates Snap Inc.'s Camera Kit terms of service, developer policies, or community guidelines, as updated from time to time; or

  • Is otherwise prohibited by applicable local, state, national, or international law.

6. Intellectual Property

6.1 Ownership

The App, including all software, code, design, graphics, user interfaces, and documentation, is the proprietary property of Grey Duck Labs LLC and is protected by United States and international intellectual property laws. These Terms do not convey to you any ownership interest in or to the App. All rights not expressly granted herein are reserved by Grey Duck Labs LLC.

6.2 Feedback

If you provide Grey Duck Labs LLC with any suggestions, comments, or feedback regarding the App ("Feedback"), you grant us a perpetual, irrevocable, royalty-free, worldwide license to use, incorporate, and exploit such Feedback in any manner without compensation or attribution to you.

7. Third-Party Services

The App integrates with and relies upon third-party platforms, including but not limited to Snap Inc.'s Camera Kit. Your use of those platforms is governed exclusively by the applicable third-party terms of service and privacy policies. Grey Duck Labs LLC:

  • Is not a party to, and makes no representations regarding, any third-party terms;

  • Is not responsible for the availability, accuracy, reliability, or legality of any third-party service; and

  • Shall have no liability for any damages arising from your use of or reliance on any third-party service.

It is your sole responsibility to comply with all applicable third-party developer agreements, including Snap Inc.'s Camera Kit terms, when using the App.

8. Privacy

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated by reference into these Terms. By using the App, you consent to the collection and use of your information as described in the Privacy Policy. Because the App operates primarily on-device and does not require user account registration with Grey Duck Labs LLC, data collection by the Company is minimal; however, third-party SDKs integrated into the App may independently collect data as disclosed in their respective privacy policies.

9. Disclaimer of Warranties

THE APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF DEALING. GREY DUCK LABS LLC DOES NOT WARRANT THAT: (A) THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; (B) ANY DEFECTS WILL BE CORRECTED; (C) THE APP IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR (D) THE RESULTS OF USING THE APP WILL MEET YOUR REQUIREMENTS. YOUR USE OF THE APP IS AT YOUR SOLE RISK.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GREY DUCK LABS LLC, ITS MEMBERS, MANAGERS, EMPLOYEES, AGENTS, PARTNERS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, USE, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH: (A) YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE APP; (B) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS OR ANY PERSONAL INFORMATION STORED THEREIN; (C) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE APP; (D) ANY BUGS, VIRUSES, OR THE LIKE TRANSMITTED THROUGH THE APP BY ANY THIRD PARTY; OR (E) ANY ERRORS OR OMISSIONS IN ANY CONTENT, REGARDLESS OF THE CAUSE. IN NO EVENT SHALL OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE APP EXCEED ONE HUNDRED U.S. DOLLARS ($100.00).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR LIABILITY, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

11. Indemnification

You agree to defend, indemnify, and hold harmless Grey Duck Labs LLC and its members, managers, officers, employees, agents, partners, suppliers, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way related to: (a) your use of or access to the App; (b) your User Content; (c) your violation of these Terms; (d) your violation of any rights of another party; or (e) your violation of any applicable law, rule, or regulation.

12. Modifications to the App and Terms

Grey Duck Labs LLC reserves the right, at its sole discretion, to modify, suspend, or discontinue the App or any portion thereof at any time without notice or liability. We also reserve the right to update these Terms at any time. We will indicate the revised effective date at the top of these Terms. Your continued use of the App following the posting of updated Terms constitutes your acceptance of such changes. If you do not agree to the updated Terms, you must discontinue use of the App.

13. Termination

Grey Duck Labs LLC may, in its sole discretion, suspend or terminate your access to the App at any time, with or without cause, and with or without notice. Upon termination: (a) the license granted to you under these Terms will immediately cease; and (b) you must destroy all copies of the App in your possession. Sections 6, 9, 10, 11, 14, 15, and 16 shall survive any termination of these Terms.

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Minnesota, without regard to its conflict of law principles.

14.2 Informal Resolution

Before filing any legal claim, you agree to contact Grey Duck Labs LLC at the address below and attempt to resolve the dispute informally for a period of at least thirty (30) days.

14.3 Binding Arbitration

Except for disputes involving Grey Duck Labs LLC's intellectual property rights or claims for injunctive relief, any dispute, claim, or controversy arising out of or relating to these Terms or the App shall be resolved by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. The arbitration shall take place in Hennepin County, Minnesota, unless the parties agree otherwise. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

14.4 Class Action Waiver

YOU AND GREY DUCK LABS LLC AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, REPRESENTATIVE, OR COLLECTIVE PROCEEDING. If this waiver is found unenforceable, then the arbitration provision in Section 14.3 shall be null and void.

15. General Provisions

15.1 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Grey Duck Labs LLC with respect to the App and supersede all prior or contemporaneous understandings, representations, or agreements.

15.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect, and the invalid provision shall be modified to the minimum extent necessary to make it enforceable.

15.3 No Waiver

Failure by Grey Duck Labs LLC to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

15.4 Assignment

You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. Grey Duck Labs LLC may freely assign or transfer these Terms without restriction. Any attempted assignment in violation of this provision is void.

15.5 Force Majeure

Grey Duck Labs LLC shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.

15.6 Export Compliance

You agree to comply with all applicable export and re-export control laws and regulations, including the Export Administration Regulations maintained by the U.S. Department of Commerce. You represent that you are not on any U.S. government restricted party list.
